Corporate Governance

Buffalo Coal and its directors recognize the importance of corporate governance to the effective management of the Company and to the protection of its stakeholders, particularly shareholders.  The Company’s approach to significant issues of corporate governance is designed with a view to ensuring that the business and affairs of the Company are effectively managed so as to enhance shareholder value.  The Corporation believes that its corporate governance practices are in compliance with applicable Canadian requirements, including National Policy 58-201 – Corporate Governance Guidelines.

The Governance Committee comprises Mr. Robert Francis and Mr. David Thomas.

The Board has adopted a Code of Business Conduct and Ethics, and a Whistleblower Policy for its directors, officers and employees, which encourages and promotes an overall culture of ethical business conduct by promoting compliance with applicable laws, rules and regulations, and allows its directors, officers, consultants and employees who feel that a violation of the code has occurred, or who have concerns regarding financial statement disclosure issues, accounting, internal accounting controls or auditing matters, to report such violations or concerns on a confidential and anonymous basis.
