Forbes & Manhattan Coal Corp. Announces Closing of C$36.4 Million Bought Deal Financing

Forbes & Manhattan Coal Corp. (TSX:FMC) ("Forbes Coal" or the "Company") is please to announce that it has closed its previously announced bought deal offering (the "Offering") of 8,000,000 common shares (the "Offered Shares") of the Company at a price of C$4.55 per Offered Share for aggregate gross proceeds of C$36,400,000. The Underwriters (defined below) have also been granted an over-allotment option to purchase up to an additional 1,200,000 common shares of the Company at a price of C$4.55 per common share for a period of 30 days from the date hereof.

The Offered Shares were sold pursuant to an underwriting agreement between the Company and a syndicate of underwriters co-led by GMP Securities L.P. and Canaccord Genuity Corp. and including Fraser Mackenzie Limited (collectively, the "Underwriters").

The Company intends to use the net proceeds from the Offering for the repayment of its currently outstanding vendor note from the acquisition of the Company's assets, for expansion capital expenditures at the Company's Magdalena and Aviemore coal mines in South Africa and for general corporate purposes.

The Company holds a 53.5% interest in Slater Coal (Pty) Ltd., a South African company ("Slater Coal") which has a 70% interest in Zinoju Coal (Pty) Ltd. ("Zinoju").
